GENERAL TERMS, CONDITIONS AND CANCELLATION POLICY

General Provisions

The General Terms of Use and Terms of Sale (hereinafter referred to as “Terms of Use”) lays down the terms and conditions for use of the platform NEM Network by end users.

NEM Network is an online platform that allows its users to consume all available content on NEM Network official website (www.neweumarket.com/network) and all integrated applications such as Slack, Microsoft Teams, Zoom, networking apps, etc. (the applications being used as well as their number may vary according to the needs of the platform as well as the end users). These Terms of Use apply not only to the NEM Network website but also to all active applications being used by NEM Network for providing services to end users.

NEM Network is an automatic recurring subscription, with a price based on period of activation. Regardless of the chosen period for the payment during the registration, a subscription will be renewed monthly, unless the official Subscription cancellation form is submitted here: https://neweumarket.com/network/subscription-cancellation/.

The NEM Network platform and services are provided and owned by Mediavision Ltd. for the purpose of enabling the online platform dedicated to TV industry, including all features and functionalities, web pages and user interfaces, and all content and software associated with our service. The service consists of B2B VOD which contains panel discussions, 1 on 1s, screenings and presentations, and B2B platform which contains meeting service and business newsfeed primarily focused on the CEE region.

The right to use this platform is a personal right of the end user. The users’ tenure cannot be transferred to another person or entity. The user is not authorized to register another person or entity.

Mediavision Ltd. is not responsible if an unauthorized user falsely registers on behalf of another person or entity. The end user is personally responsible for protecting the confidentiality of their passwords, where they exist.

Agreement to these Terms of Use constituted a biding legal contract between Mediavision Ltd. and the end user (individual or a company).

Acceptance of Terms of Use

By using the platform NEM Network, end user agrees to the Terms of Use.

By accepting the Terms of Use, the end user confirms that they have read and understand the General Terms, Privacy Policy, and Confidentiality Agreement, Cookies and Advertising Settings, and the rules governing the use of NEM Network.

In case of Company User option of using the NEM Network platform, all employees who actively use the platform automatically agree to Terms of Use and Privacy Policy.

IF YOU DO NOT AGREE WITH THE FOREGOING TERMS OF USE, PLEASE DO NOT USE THE PLATFORM.

Changing the Terms of Use

Mediavision Ltd. reserves the right to at any time and without notice, if it deems necessary, repeal or amend any of the specified General Terms of Use and Confidentiality Agreement. Continued use of the platform after modifications to the General Terms of Use and Confidentiality Agreement have been published on the website (www.neweumarket.com/network), will be understood that the user accepts the changes.

Mediavision Ltd. reserves the rights to, at any time, modify or discontinue any part of the business, including content, hours of availability, equipment needed for access or use of the platform.

Privacy

Personally identifying information is subject to our Privacy Policy, the terms of which are incorporated herein. Please review our Privacy Policy to understand our practices and further details of our marketing communications.

Communication Settings

By using the NEM Network service, you consent to receiving electronic communications from NEM Network relating to your account.

E-mail communication includes: sending e-mails to the e-mail address provided during registration, receiving notifications about your account (i.e., payment authorization, password changes or methods of payment, e-mail confirmation and/or other transactional information), receiving newsletters about new features and content on NEM Network, special offers, promotional announcements and questionnaires for users, which will be sent by e-mail or NEM platform tools.

You should maintain copies of electronic communications by printing a paper copy or saving an electronic copy.

If you no longer want to receive certain non-transactional communications, you can simply unsubscribe by clicking the link on the newsletter. You can contact us at info@mediavision.hr with a request to unsubscribe from our newsletter at any time.

Membership, Payment and Complaints

ACTIVE MEMBERSHIP

If the user wants to use NEM Network, they must have internet access.

By signing up for free, user is allowed to access a B2B VOD with the following contents: panel sessions, 1 on 1s, paid presentations and case studies.

By paying, user is granted unlimited access, which includes, besides above-mentioned, all the content available on B2B platform, direct reach to all active users, possibility of buying and/or selling content or services as well as keeping track of all relevant news from the industry through business newsfeed.

The right to use NEM Network can be activated by registering and entering valid payment information, unless the requirements for using the platform free of charge are satisfied in case of Buyer User, in which case the registration is completed once the end user has received a confirmation of completing the requirements.

Free membership is active until requested otherwise by the user or change of Terms of Use for free users.

Subscriptions are extended by a renewed payment, and expire after the subscription term if the user account is cancelled by the user.

In case of purchasing Contestant Package 2020, subscription is valid until 31^st of December 2020.

PARTICIPATION OPTIONS

NEM Network offers different types of participation.

FREE USER is available for anyone who signs up to NEM Network and grants them an access to B2B VOD contents.

NEM Network reserves the right to enable free unlimited participation to users based on certain requirements. Some of the examples of users entitled to free membership:

Buyer Users – upon NEM Network’s confirmation of meeting the job positioning required for gaining free membership right, Buyer Users have a complete access to NEM Network.

Guest members – speakers that participate on panel sessions, 1 on 1s, presentations, case studies or other are considered GUEST MEMBERS of NEM Network and are entitled for a full access to NEM Network in duration of one month, exclusively during the month in which they participate as speakers.

SUBSCRIBERS get unlimited access to B2B platform’s content and functionalities.

Promotional Sales

NEM Network can periodically put certain services on promotional sale.

The Terms of Use contained in the special and promotional deal and that are materially different from the General Terms of Use will be given to the end user to review while registering or by another means of communication.

Promotional services may be available to all customers alike, and may be available to certain customers, or an accurately specified group.

The terms of the promotional sale will be described in detail, in particular the duration of the promotional sale, quantity limitations, size of discount etc.

After the expiration of the promotional sale, the company Mediavision Ltd. will not receive any new orders relating to the expired promotional sale.

Existing subscriptions or other already paid for elements cannot be changed in terms of promotional discounts unless they expire while the promotion is active.

Price

The price of the service will be calculated and charged in the Croatian Kuna (HRK). The prices expressed in Euros are for informative purposes only.

The prices are retail and VAT is included, and apply to all methods of payment at the time of purchase. For users there are no additional costs of any kind, which would change the valid advertised price.

The service price is determined for each service individually. The process of determining the prices listed on the page for each service is subject to the control of multiple levels, but regardless of that there is the possibility of error due to human factor.

Such situations are unpredictable and for them NEM Network apologizes in advance to their customers because they will be forced to inform their customers of the situation, the wrong price for the product and the inability to deliver a specific customer order. NEM Network will, in their best efforts, try to resolve the matter as soon as possible to end user’s satisfaction if feasible.

Conversion

Conversion for prices expressed in Euro shall be converted into the daily HRK, per change, according to the middle exchange rate of the Croatian National Bank.

The company Mediavision Ltd. is not responsible for the difference in the exchange rates used by the card issuer bank and those used by Mediavision Ltd. Please note that there may be a minimal change in the amount actually charged from the user’s card by the card issuer bank.

At the time of purchase, the actual price may be different from the one advertised due to conversions or additional fees charged by purchase services for transactions carried out through them. NEM Network is not responsible for and cannot anticipate additional costs. Before the payment is made, the service will show the amount it intends to charge and the user can always withdraw from the purchase and decide to pay in some other way.

Payment Methods

Credit Card: American Express, Diners, Visa, MasterCard, Maestro, Discover.

While conducting payments on our web shop you are using CorvusPay – an advanced system for secure acceptance of credit cards on the Internet.

CorvusPay ensures complete privacy of your credit card data from the moment you type them into the CorvusPay payment form. Transfer payments

You will be sent an email with a non-binding offer with all the data necessary for payment, including the account number to which you will pay the value of the order. Payments can be made using internet banking or through banks, post offices, etc. Upon receiving a registered payment and issuing and invoice to the end user, the user’s account will be activated on NEM Network platform. The end of the period paid with transfer payment about which the user will be notified beforehand via email or platform tools will not automatically mean that the end user’s account on the NEM Network platform will be closed and any use of the platform after the expiration date of the period paid for will automatically result with NEM Network issuing an invoice for an additional month of subscription. The end user’s account will be closed by NEM Network once a Subscription cancellation form has been submitted by the end user to NEM Network for the termination of this Contract.

NOTE: For bank transfer payments, the service is enabled after the payment has been posted. The time required for entry depends on the business conditions of user’s bank and Mediavision Ltd.’s bank.

IMPORTANT! Before paying, it is extremely important to enter the correct reference number (number of pro forma invoice), because this information ensures a timely payment record and an enabled service. In case the reference number is missing or is incorrect, the company Mediavision Ltd. does not assume responsibility for late activation. Invoicing

After the payment has been verified and recorded, a corresponding invoice will be issued for the paid service and sent by email to the address used in end user’s registration. A printed copy of your invoices can be attained by sending a written request.

The user can send their queries and comments by mail or by e-mail, and NEM Network will send a written reply by mail or e-mail within the statutory deadline, starting on the date when the inquiry or complaint was received.

NEM Network Platform

The NEM Network service, and any content viewed through our service, is for your personal use only and not for commercial use. To all NEM Network end users, the platform grants limited (in terms of administration authorities of the platform), non-exclusive, non-transferable license to access the NEM Network platform and use its services and content without transferring and ownership rights to the platform or any of the content on the platform.

We continually update the NEM Network service, including updates and modifications to our content offer. We continually test various aspects of our service, including our website, user interfaces, service levels, plans, and promotional features, availability of video content, delivery and pricing. We reserve the right to include or exclude you from these tests without notice.

We reserve the right in our sole and absolute discretion to make changes from time to time and without notice in how we offer and operate our service so that we may improve the service.

You agree to use the NEM Network service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations, including public performance limitations or other restrictions on use of the service or content therein.

You agree not to archive, download (other than through necessary caching for personal use), reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorized in these Terms of Use) content and information contained on or obtained from or through the NEM Network service without express written permission from NEM Network or its licensors.

You agree not to circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the NEM Network service; use any robot, spider, scraper or other automated means to access the NEM Network service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the NEM Network service; insert any code or product or manipulate the content of the NEM Network service in any way; or use any data mining, data gathering or extraction method.

You agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the NEM Network service, including any software viruses or any other computer code, files or programs.

You are responsible for all Internet access charges. Please check with your Internet provider for information on possible Internet data usage charges. NEM Network makes no representations or warranties about the quality of your watching experience on your display.

We may terminate or restrict your use of our service, without compensation or notice if you are, or if we justly suspect that you are in violation of any of these Terms of Use or engaged in illegal or improper use of the service.

Passwords & Account Access

The end user has access and control over their NEM Network account in terms of their password and all personal information provided on the platform as well as the starting and/or ending date of their subscription/membership term. NEM Network reserves the right for activation and deactivation according to these Terms as well as all logistical processes and possible updates of end user’s profile. However, end user is responsible for the confidentiality of his password and should not reveal it to anyone. End user is also responsible for the truth and accuracy of their personal and professional details in their account and is obliged to inform NEM Network about any changes in order to have correct information on their profile. End user should not reveal the Payment Method details (e.g., last four digits of their credit or debit card) associated with their account to any third parties.

Disclaimers of Warranties and Limitations on Liability

The end user expressly agrees that use of the NEM Network platform is the SOLE RESPONSIBILITY of the end user and that the company Mediavision Ltd. is not responsible for:

(a) Consequences that may result from using this website,

(b) The accuracy, reliability or content of any information, service or product provided by this website.

NEM Network may terminate the business relationship with any of their end users at any time. NEM Network reserves the right to terminate any passwords or accounts of the end user in the event of any conduct by the end user that NEM Network, according to its sole discretion, considers to be unacceptable; as in any case of non-compliance with the Terms of Use by the end user.

Unilateral Contract Termination

This contractual relationship shall be subject to Article 72 of the Croatian Consumer Protection Act and shall apply only to users from the Republic of Croatia.

The user may unilaterally terminate the Contract within 14 days without stating reasons.

In order to be able to exercise the right to unilaterally terminate the Contract, the user must notify NEM NETWORK of their decision to terminate the contract unilaterally before the expiration of the deadline by submitting an unequivocal statement by post, fax or e-mail, specifying their first and last name, address, phone number, fax or email address. They may use the enclosed example of the unilateral contract termination form.

The deadline for unilateral termination is 14 days from the day of the conclusion of the contract.

If the user unilaterally terminates this Contract, Mediavision Ltd. will refund the money received from them without delay, at the latest within 14 days from the day of receiving the user’s decision about unilateral contract termination. Refunds will be made via the same method the user used for payment.

The Unilateral Contract Termination Form which can be found on NEM Network website: https://neweumarket.com/network/subscription-cancellation/. The confirmation of the receipt of the notice of unilateral contract termination will be sent to you, without delay, by electronic mail, alongside with the notification about the date from which the termination is valid.

In accordance with Article 79(1) of the Croatian Consumer Protection Act, the consumer has no right to unilaterally terminate the contract if the trader has fully fulfilled the service contract, wherein this fulfilment began with the express prior consent of the consumer and with their confirmation that they are aware of the fact that they will lose the right to unilaterally terminate the contract if the service agreement is fully fulfilled.

The consumer also has no right to terminate the contract in terms of Article 79(13) of the Consumer Protection Act when it comes to delivering digital content that is not delivered on a physical media if the fulfilment of the contract began with the consumer’s express prior consent and the confirmation that they are aware of the fact that he will thereby lose the right to unilaterally terminate the contract.

Promotions

Promotional codes may be redeemed on our website. Promotional codes can only be used once and cannot be redeemed for cash, resold or combined with any other offers. If you received a promotion code through an offer by a third party, additional restrictions may apply.

Intellectual Property

Violation of the General Terms of Use can lead to the initiation of civil proceedings and/or to criminal prosecution against the offender for infringement of copyright, trademark rights, or the rights of any other form of intellectual property.

The internet Website contains material protected by copyright, trademark, design, and other information that are covered by other rights of Persons or legal entities or legal persons, including, but not limited to, text, software, photos, videos, graphics, music, sound, and the entire content of NEM Network, in accordance with regulations of the Republic of Croatia. The end user may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part. The end user can download, print and store materials protected by copyright purposes only for his own use. Copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express written consent of NEM Network for services and the copyright holder is not permitted.

Governing Law

Mediavision Ltd. company headquarters is in Zagreb, Republic of Croatia. A legal dispute that may arise as a result of using this internet Website (unless a special agreement otherwise stated) is under the jurisdiction of the Court in Zagreb, and settled in accordance with the applicable laws of the Republic of Croatia. By using this internet website end users agree that any dispute or claim, arising from, or in connection with these Terms, or in connection with their implementation, are within the jurisdiction of the Court in Zagreb and Croatian Law.

Applications

You may encounter third-party applications (including, without limitation, websites, widgets, software, or other software utilities (hereinafter referred to as “Applications”) that interact with the NEM Network service. These Applications may import data related to your NEM Network account and activity and otherwise gather data from you. These Applications are provided solely as a convenience to you, and NEM Network is not responsible for such Applications. SUCH APPLICATIONS ARE OWNED OR OPERATED BY THIRD PARTIES THAT ARE NOT RELATED TO OR SPONSORED BY NEM NETWORK. USE OF AN APPLICATION IS AT YOUR OWN OPTION AND RISK.

Use of Information Submitted

NEM Network is free to use any comments, information, ideas, concepts, reviews, or techniques or any other material contained in any communication you may send to us, including responses to questionnaires or through postings to the NEM Network platform, including the NEM Network website and user interfaces, without further compensation, acknowledgement or payment to you for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and creating, modifying or improving the NEM Network service. In addition, you agree not to enforce any “moral rights” in and to the Feedback, to the extent permitted by applicable law.

PRIVACY AND PERSONAL DATA PROTECTION POLICY of NEM NETWORK

Mediavision Ltd., Radnička 50, 10000 Zagreb (hereinafter referred to as “NEM Network “) undertakes to protect your personal data under the EU’s General Data Protection Regulation (GDPR).

NEM Network recognizes the importance of security as well as privacy and data protection of our users and everyone who comes into contact with us, so our aim is to provide protection for all our operations and implement consistent policies and procedures.

This privacy protection statement will inform you of our protection practices and the possibilities of choosing the method of collecting and using your personal data. This privacy protection statement applies to all NEM Network ‘s websites, domains, services, applications, products and employees.

Please check from time to time NEM Network’s Privacy and Personal Data Protection Policy (hereinafter referred to as “Privacy Policy“) because of the possible changes that will be displayed on this page.

We collect and process your personal information in accordance with the provisions of the General Data Protection Regulation, EC 2016/679. We will keep the collected data in an appropriate manner and ensure their confidentiality. We will not pass the collected data to third parties without your explicit permission.

We collect only personally identifiable information that was voluntarily provided to us. We never require that this personal information be provided in order to gain access to our sites, nor will we require you to disclose more personal information than is needed to participate in an activity on our sites.

NEM Network will not send you unsolicited mail. NEM Network is not responsible for any accidental error or error due to force majeure or other objective circumstances causing accidental breach of the guaranteed protection of your data, but guarantees that the error will be remedied as soon as possible.

We do not sell, transfer or disclose personal data collected from our web pages to anyone outside NEM NETWORK without your consent (except for those data that are necessary to business partners for providing/enabling the service). This does not include cases in which the seller is obliged to submit or permit access to the buyer’s personal data upon a valid order of the authorized national authorities and in accordance with the law.

The seller collects the buyer’s personal data only to the extent necessary for fulfilling their obligation, informing the buyer about new products and delivering promotional materials, improving customer relations and checking other information required for online shopping.

The buyer has the right to request a supplement, correction or modification of incorrect personal information.
